Job Specification: Group Chief Legal Officer (CLO) / General Counsel

Position Overview

This is a rare opportunity to join a next-generation organization during its early stages and make a monumental impact on its long-term trajectory. We are seeking a highly strategic, commercially minded Chief Legal Officer (CLO) / General Counsel to design, build, and oversee the legal architecture, corporate governance, and regulatory framework of our growing corporate ecosystem.

Unlike a traditional in-house counsel focused on standard commercial contracts, you will serve as a key strategic partner to the Founder and the Chief Financial Officer. Your primary mandate will be to safeguard the group's assets, orchestrate complex structural engineering, and facilitate the frictionless movement of capital and operational synergies across our portfolio of businesses.

Key Responsibilities

Corporate Architecture & Governance

  • Strategic Growth: Design and maintain the master corporate structure to support long-term permanent capital accumulation and multi-generational growth.
  • Control Preservation: Protect and manage the founder's voting majorities and dual-class share structures to ensure absolute operational autonomy and long-term stability.
  • Timeline Frameworks: Establish governance frameworks that prevent the "clash of timelines" between long-term ecosystem building and the expectations of minority investors or capital partners.

Ecosystem Integration & Related-Party Transactions

  • Cross-Pollination Governance: Structure and govern legally robust frameworks for intercompany transactions, data sharing, and supply chain integrations among synergistic businesses.
  • Conflict & Compliance Management: Manage compliance, mitigate structural conflicts of interest, and clear legal hurdles regarding related-party transactions, turning operational "cross-pollination" into a seamless corporate routine.
  • Capital Plumbing Integration: Draft and oversee the legal mechanisms for intercompany loans and structural capital recycling.

M&A and Transactional Execution

  • Capital Transactions: Lead legal due diligence, drafting, and negotiation for parent-level equity rounds, debt facilities, and downstream capital injections.
  • Ecosystem Adjustments: Execute mergers, acquisitions (M&A), and asset recycling strategies, ensuring all transactions are structured to optimize asset protection and tax efficiency.

Regulatory Compliance & Risk Mitigation

  • Liability Insulation: Monitor and manage the organization's overall risk profile, ensuring that liabilities within a single operating business are legally insulated and do not cross-contaminate sister companies or the parent node.
  • Market Preparation: Oversee compliance with corporate law, and prepare the organizational foundation for future regulatory or reporting requirements if the ecosystem scales toward deeper capital markets.

Candidate Profile & Qualifications

  • Experience: 10+ years of corporate legal experience, with a proven track record in top-tier law firms or as a senior in-house executive within an investment group, multi-asset family office, or highly diversified corporate group.
  • Structural Expertise: Deep mastery of complex corporate structuring, cross-border corporate law, M&A transactions, and joint ventures. A thorough understanding of how legal structures interact with tax optimization (e.g., participation exemptions) is highly advantageous.
  • Commercial Mindset: A legal strategist who views law as an enabler of business velocity and ecosystem synergy, rather than a bureaucratic bottleneck.
  • Autonomy & Grit: Comfortable operating in an ambiguous, fast-paced, early-stage environment where you are expected to both design the high-level strategy and execute the foundational paperwork.

Compensation & Culture

As a founding member of the leadership team, your compensation package is structured to align your personal wealth directly with the long-term compounding growth of the entire ecosystem.

  • Deferred Base Salary: To optimize early-stage runway and prioritize direct capital allocation into our operating businesses, a portion of the base salary will be deferred, tied to clear operational milestones or future funding inflows.
  • Founding-Member Equity Compensation: You will receive a significant, institutional-grade equity stake at the parent level commensurate with a founding executive. This offers rare exposure to the upside of the entire ecosystem rather than a single business's cap table.
  • Performance Bonuses: Discretionary and milestone-driven bonuses mapped to successful M&A transactions, structured capital rounds, and overall organizational milestones.
  • Workplace Flexibility: This role offers complete Work From Home (WFH) flexibility. We operate in a results-oriented work environment where your physical location matters far less than your strategic output.
  • Extreme Autonomy: You will answer directly to the Founder and the Board. You will enjoy absolute operational autonomy to build out the legal framework, select external specialist counsel, and implement corporate governance systems as you see fit.
